1. Acceptance of Terms

By accessing or using AskOrigin ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

AskOrigin is a marketing attribution and analytics platform for e-commerce merchants. The Service provides server-side tracking, multi-touch attribution modeling, customer journey analysis, and integrations with advertising platforms including Google Ads and Meta (Facebook). The Service is designed for use with Shopify stores.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Be at least 18 years of age or the age of majority in your jurisdiction

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use

You may use the Service solely for lawful business purposes related to analyzing and attributing marketing performance for your e-commerce store(s). You agree not to:

• Use the Service to violate any applicable law or regulation, including data protection and privacy laws
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to collect, store, or process data in a manner that violates the privacy rights of individuals
• Resell, sublicense, or redistribute the Service without our written consent

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and Data Processing Agreement. You are responsible for:

• Ensuring you have a lawful basis for collecting and processing customer data through the Service
• Providing appropriate privacy notices to your store visitors
• Implementing consent mechanisms where required by applicable law (e.g., GDPR, CCPA)
• Complying with all applicable data protection laws in your jurisdiction

6. Third-Party Integrations

The Service offers integrations with third-party platforms including Google Ads and Meta (Facebook). When you connect these integrations:

• You authorize AskOrigin to access your account data on those platforms as described in our Privacy Policy
• You are responsible for complying with those platforms' terms of service and policies
• AskOrigin is not responsible for changes to third-party APIs, policies, or services that may affect the functionality of these integrations
• You may disconnect any integration at any time through the Service's settings

AskOrigin's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

7. Subscription and Billing

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees for your selected plan. Subscription details:

• Subscriptions are billed monthly or annually, depending on your selection
• We offer a 14-day free trial for new accounts. No payment is required during the trial period
• After the trial, your subscription will automatically renew unless cancelled before the renewal date
• If you exceed the order limit for your plan, you will be notified and may be automatically upgraded to the next tier
• Prices may change with 30 days' notice. Continued use after a price change constitutes acceptance

8. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

• Your access continues until the end of the current billing period
• No prorated refunds are provided for partial billing periods
• Your data will be retained for 30 days after cancellation, after which it is permanently deleted
• You may request immediate data deletion at any time by contacting us

9. Intellectual Property

The Service, including its software, design, documentation, and branding, is the intellectual property of AskOrigin. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription. You retain all rights to your data.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by applicable law, AskOrigin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to AskOrigin in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that attribution data will be 100% accurate.

13. Indemnification

You agree to indemnify and hold harmless AskOrigin and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes through the Service or via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.

15. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect, including sections on intellectual property, limitation of liability, indemnification, and governing law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AskOrigin operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.
